The name of this organization shall be **Palmetto Drag Racers Association (PDRA)**, hereafter referred to as the "Association." The Association is organized as a nonprofit corporation under the laws of the State of South Carolina.
PURPOSE, MISSION, AND FAITH STATEMENT
Section 1. Purpose
The Association is organized exclusively for charitable, educational, and community purposes within the meaning of Section 501(c)(3) of the Internal Revenue Code to support, promote, and advance the drag racing community.
Section 2. Mission
The mission of the Association is to:
* Promote safe and responsible drag racing
* Foster faith-based, community-centered, and wholesome values
* Provide fellowship and support for racers, families, and fans
* Encourage youth involvement in motorsports
* Support charitable and community outreach activities
* Promote organized racing activities, including events at Darlington Dragway and other approved venues
Section 3. Christian Faith Statement
The Palmetto Drag Racers Association is founded on Christian principles. We affirm the following core values:
* Faith in God and the importance of Christian character
* Integrity, honesty, and good sportsmanship
* Respect for fellow racers, families, track officials, and the community
* Commitment to family-friendly and wholesome conduct
The Association welcomes individuals of all backgrounds who support the mission and agree to conduct themselves in a manner consistent with these values.
Section 4. 501(c)(3) Compliance
The Association shall operate exclusively for purposes permitted under Section 501(c)(3) of the Internal Revenue Code. No part of the net earnings shall inure to the benefit of, or be distributable to, any director, officer, or private individual except as reasonable compensation for services rendered.
The Association shall not participate in or intervene in any political campaign on behalf of or in opposition to any candidate for public office, nor shall it carry on activities not permitted to organizations exempt under Section 501(c)(3).
MEMBERSHIP
Section 1. Eligibility
Membership is open to individuals who support the mission and values of the Association and have an interest in the drag racing community. Membership will be

The Association may establish membership classes including but not limited to:
* Members

* Honorary Members
The Board of Directors may define rights and privileges for each class.
Section 3. Admission
Prospective members must:
* Submit an application
* Agree to abide by these bylaws, faith values, and the Association's code of conduct Pay any applicable dues
Section 4. Dues
Annual dues, if any, shall be set by the Board of Directors.
Section 5. Termination of Membership
Membership may be suspended or terminated for:
* Conduct contrary to the mission, faith values, or safety standards of the Association
* Nonpayment of dues
* Violation of racing safety or conduct rules
Termination requires a majority vote of the Board after reasonable notice to the member and an opportunity to respond.
MEETINGS OF MEMBERS
Section 1. Annual Meeting
An annual meeting of members shall be held at a time and place designated by the Board of Directors. Will Include voting on Officers and board
Section 2. Regular Meetings
Regular meetings may be held as determined by the Board.
Section 3. Special Meetings
Special meetings may be called by the President or by a majority of the Board of Directors.
Section 4. Quorum
A quorum for membership meetings shall consist of those members present, unless otherwise determined by the Board consistent with South Carolina law.
Section 5. Voting
Each Regular Member in good standing shall have one vote. Voting may occur in person or by other methods approved by the Board and permitted under South Carolina nonprofit law.
BOARD OF DIRECTORS
Section 1. Authority
The affairs of the Association shall be managed by its Board of Directors.
Section 2. Composition
The Board shall consist of not fewer than three (3) directors. The exact number may be set by Board resolution consistent with South Carolina nonprofit law. A tie vote will be broken by Vice President
Section 3. Duties
The Board shall:
* Provide strategic direction
* Safeguard the mission and Christian values of the Association
* Approve budgets and major expenditures
* Establish policies and rules
* Oversee officers and committees
* Ensure compliance with 501(c)(3) requirements
Section 4. Term of Office
Directors shall serve terms of two (2) years unless otherwise established by the Board.
Section 5. Vacancies
Vacancies on the Board may be filled by majority vote of the remaining directors.
Section 6. Removal
A director may be removed for cause by a two-thirds (2/3) vote of the Board.
OFFICERS
Section 1. Officers
The officers of the Association shall include:
* President
* Vice President
* Secretary
* Treasurer
The Board may create additional officer positions as needed.
Section 2. Duties
President - Provides leadership, presides at meetings, represents the Association, and serves as primary liaison with racing venues including Darlington Dragway.
Vice President - Assists the President and performs duties in the President's absence.
Secretary — Maintains records, minutes, and official documents.
Treasurer Oversees finances, maintains accounts, ensures proper nonprofit financial controls, and provides financial reports.
Section 3. Election and Term
Officers shall be elected by the members
Section 4. Removal
Any officer may be removed by majority vote of the Board when in the best interest of the Association.
COMMITTEES
The Board may establish standing or special committees as needed, including but not limited
to:
* Safety Committee
* Events Committee
* Membership Committee
* Faith and Community Outreach Committee
Committees report to the Board.
FINANCES
Section 1. Fiscal Year
The fiscal year shall be determined by the Board of Directors.
Section 2. Use of Funds
All funds shall be used solely to further the nonprofit purposes of the Association. No part of the net earnings shall benefit any private individual.
Section 3. Banking
Association funds shall be deposited in financial institutions approved by the Board. The Board shall adopt appropriate financial controls consistent with nonprofit best practices.
Section 4. Financial Reports
The Treasurer shall provide regular financial reports to the Board and membership.
CODE OF CONDUCT
Members shall conduct themselves in a manner consistent with the Association's commitment to:
* Christian faith-based values
* Community
* Wholesome family environment
* Safety
* Good sportsmanship
The Board may adopt additional conduct and racing safety rules applicable to events, including those held at Darlington Dragway.
AMENDMENTS
These bylaws may be amended by a two-thirds (2/3) vote of the Board of Directors at any regular or special meeting, provided prior notice of the proposed amendment has been given.
DISSOLUTION
Upon dissolution of the Association, any remaining assets shall be distributed for one or more exempt purposes within the meaning of Section 501(c)(3) of the Internal Revenue Code, preferably to organizations supporting motorsports safety, youth racing programs, or Christian community outreach, consistent with South Carolina law.
